Terms of Service
These Terms of Service form a binding agreement between you and Seerai. They govern your use of seerai.amayx.com, our hosted dashboard, our API, and any related services we operate. They do not govern the open-source Seerai Zotero plugin distributed under the MIT License, which is offered free of charge under its own license.
§1Acceptance and eligibility
By creating an account, signing in, or otherwise using the hosted Seerai Service, you agree to these Terms. If you do not agree, do not use the Service.
You must be at least 16 years old (or the age required by local law to consent to data processing, whichever is higher) to use the Service. By using the Service, you represent and warrant that you meet this requirement.
If you are accepting these Terms on behalf of an organisation (your employer, your university department, your lab), you represent and warrant that you have authority to bind that organisation, in which case “you” refers to that organisation. If your institution requires a separate written agreement (often called a Master Services Agreement or Data-Processing Agreement), see section 9 and contact us at legal@amayx.com.
You may not use the Service if you are a resident of, or are accessing the Service from, any jurisdiction where our offering or the underlying AI services are restricted or prohibited by applicable law or by sanctions administered by the United States, the European Union, the United Kingdom, or the United Nations.
§2The Service we provide
2.1 What Seerai is
Seerai offers an AI-powered research-assistant experience for people who use the Zotero reference manager. The hosted Service consists of:
- A web dashboard at
seerai.amayx.comfor managing your account, billing, and provider API keys. - An OpenAI-compatible API at
api.seerai.amayx.com/v1that the Zotero plugin (and any client you write) uses for chat completions, embeddings, OCR, image generation, audio transcription/text-to-speech, and agent/conversation management. - Optional sync of plugin state across your devices, if you hold a paid subscription.
2.2 What Seerai is not
Seerai is a thin routing layer, not a model provider. Inference is performed by the AI providers you select. Seerai does not own, train, or operate any model that processes your data. The content of the models themselves is licensed by their respective providers.
2.3 Service availability
We aim to keep the Service running reliably, but we make no uptime commitment. The Service is provided on an “as available” basis and may be interrupted by maintenance, upstream-provider outages, network events, force majeure, or actions taken under section 15.
For customers on the Institutional plan, we may agree to a Service Level Agreement as part of a separate written contract.
§3Your account and security
3.1 Registration
To use most features you must create an account with a valid email address. We may use a one-time code (a “magic code”) sent to your email to verify ownership. The shared test account at test@amayx.com exists for demos and is exempt from this requirement.
3.2 Account responsibilities
You agree to:
- Provide accurate information at registration and keep it current;
- Maintain the security of your account, password (where applicable), API keys, and any plugin session tokens;
- Promptly notify us at legal@amayx.com if you suspect any unauthorised access;
- Accept responsibility for all activities that occur under your account, whether or not you authorised them.
3.3 Plugin session tokens
The Zotero plugin authenticates to our API with bearer tokens generated from your account. Tokens may expire and must be refreshed by re-authenticating. You may revoke any active token at any time from the dashboard. We store only a one-way hash of each token; the clear-text token is shown to you once and cannot be retrieved later.
§4Plans, credits, and payment
The Service is offered under the plans and credit packages described on our Pricing page, which is incorporated into these Terms by reference. The current pricing structure:

4.1 What credits pay for
Credits pay for our routing, accounting, and availability work. They are not payment for AI inference; you pay your AI provider separately under that provider’s terms. The unit pricing per credit is set in the administrator console and is visible from the dashboard before each call.
4.2 Subscriptions
Monthly and annual subscriptions renew automatically at the then-current rate until you cancel. We will give you at least 30 days’ notice by email before any change in recurring fees takes effect. Cancellations stop the next renewal; the current paid-in period remains available through its end.
Annual plans paid in advance may be downgraded at the end of the current annual period. Pro-rated refunds are handled under our published Refund Policy, including the EU/UK 14-day and Saudi 7-day statutory cooling-off windows.
Founder’s Lifetime is a one-time payment that entitles you to the Sync Individual tier for as long as the Service continues to operate the Sync tier. Lifetime rights do not include Sync Team or Institutional features. If the Sync tier is materially changed or discontinued, we will offer you a comparable downgrade or a pro-rated refund of the unused portion of a reasonable estimated lifetime.
4.3 Credit packs (one-time purchases)
Credit-pack purchases are non-refundable except as described in our Refund Policy (in short: refundable within 14 days if no credits from the pack have been used, otherwise non-refundable — even where local consumer law applies). Credits never expire. If we discontinue the Service, we will provide a mechanism to spend down remaining credits before termination, or refund them on a pro-rated basis.
4.4 Free trials and introductory offers
From time to time we may offer free trials or bonus credits. Trials convert to paid (or end) at the conclusion of the trial period unless you cancel first. We will tell you when a trial ends and what will happen next.
4.5 Payment processing
Payments are processed by PayTabs. You authorise us to transmit your name, email, country, and order details to PayTabs for the purpose of completing the transaction. Seerai never sees your full card number. PayTabs’s own privacy policy and cardholder terms apply to your payment data.
4.6 Taxes
Prices displayed on the website are exclusive of value-added tax (VAT), sales tax, goods and services tax (GST), and analogous transaction taxes. Any such taxes due will be calculated and added at checkout where the provider supports tax computation, or invoiced separately afterwards.
4.7 Refunds
The full refund rules — eligibility, statutory cooling-off periods for EU/UK and Saudi consumers, goodwill windows, how to request a refund, timing, currency conversion, chargeback handling, and refunds for service outages — are published in our Refund Policy. That document is incorporated into these Terms by reference and prevails over these Terms on any conflict about refunds. Summary principles:
- Credit packs are refundable within 14 days of purchase if no credits have been used; otherwise non-refundable.
- Monthly and annual subscriptions can be cancelled at any time and we pro-rate refunds where the Refund Policy permits.
- Founder’s Lifetime licenses are otherwise non-refundable, with the consumer-rights carve-out described in section 4 of the Refund Policy.
- Duplicate charges, billing errors, and prolonged outages are always credited or refunded.
4.8 Late payment, suspension, and termination for non-payment
If a recurring charge fails, we may suspend the affected service after a 14-day grace period. We will attempt to notify the billing email at least 7 days before suspension.
§5Bring-your-own-key (BYOK) and provider API keys
The Seerai routing subscription is not a substitute for an AI-provider subscription. Most production accounts configure one or more AI providers (OpenAI, Anthropic, Google, Mistral, OpenAI-compatible endpoints, etc.) and supply their API keys to Seerai.
- You are responsible for the terms and fees of every AI provider you connect.
- You must ensure that your use of those providers is lawful in your jurisdiction (for example, providers may prohibit use in sanctioned countries or for certain content categories).
- You may revoke a stored provider API key at any time from the dashboard. Revocation invalidates the stored credential and stops Seerai from sending further requests to that provider on your behalf.
- We encrypt provider API keys at rest with AES-256-GCM and decrypt them only in process memory for the lifetime of a single API call. We do not log the plaintext key.
- You agree not to provide us with keys that grant access to resources you are not authorised to expose to us.
Important
On the open-source (self-hosted) edition, your keys are sent directly from your plugin to the upstream AI provider and never reach our servers. On the hosted edition, your keys pass through our routing layer in memory for the duration of the call and are never persisted in plaintext.
§6Acceptable use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right (including intellectual-property, privacy, or contractual rights);
- Submit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or hateful, or that incites violence;
- Generate or distribute sexual content involving minors, or content that sexualises minors;
- Generate malware, ransomware, or instructions for building weapons, explosives, or controlled substances;
- Attempt to bypass, circumvent, or stress-test our rate-limit, authentication, or abuse-detection systems;
- Attempt to access another user’s account, data, or API keys;
- Resell the Service or expose it through a multi-tenant integration unless you have a written reseller agreement;
- Use the Service in connection with automated decision making that produces legal or similarly significant effects on individuals (e.g. employment, credit, housing) unless you have a documented lawful basis and human review in the loop;
- Submit content containing personal data of others that you are not authorised to provide;
- Use the Service to train or fine-tune any AI model (we never train on your content, and you agree not to use the Service as a training dataset either);
- Reverse-engineer, decompile, or otherwise attempt to derive source code from the hosted Service (except as permitted by applicable law for interoperability).
Content moderation is also subject to the acceptable-use policies of the underlying AI providers you choose. If a provider refuses a request, you may receive an error regardless of your credit balance.
§7Intellectual property
7.1 The Service is ours (and our licensors’)
The hosted Service, including its source code (other than the open-source plugin), trademarks, logos, designs, generated documentation content, and the look and feel of the dashboard, is owned by Seerai or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your personal or internal business research purposes in accordance with these Terms.
7.2 Your content remains yours
You retain all rights, title, and interest in and to the content you submit through the Service (“User Content”), including prompts, papers you author or upload for analysis, tables, agent definitions, and the outputs generated for you by your chosen AI provider. We do not claim any ownership in User Content.
7.3 License to operate the Service
You grant Seerai a worldwide, non-exclusive, royalty-free license to host, transmit, process, and display User Content solely as necessary to operate the Service for you (which includes forwarding requests to your chosen AI provider, recording aggregated usage and billing metadata, and storing conversation history in your account). This license terminates when your account is deleted or the relevant User Content is deleted by you, subject to the retention windows in our Privacy Policy.
7.4 Feedback
If you send us feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that feedback into the Service without restriction. You waive any “moral rights” you may have in such feedback to the maximum extent permitted by law.
7.5 Aggregate and de-identified data
We may create and use aggregated, de-identified statistics (for example, “the average number of embeddings requests per user per month”) for any lawful purpose, including improving the Service and sharing with third parties, provided that such statistics cannot reasonably be used to identify you.
§8Open-source components
The Seerai Zotero plugin is open-source software distributed under the MIT License. The MIT-licensed plugin is offered free of charge and is governed by that license, not by these Terms. The MIT-licensed plugin is provided “AS IS”, without warranty of any kind, as expressly stated in the MIT License.
The hosted Service described in these Terms is a separate offering. Using the open-source plugin does not require a Seerai account and does not by itself cause any of your data to reach our servers.
§9Third-party services
The Service depends on third-party providers, including:
- Cloudflare — hosting, edge network, caching, denial-of-service protection (Cloudflare’s terms and privacy policy apply to data processed on their network);
- InstantDB — primary application database;
- PayTabs — payment processing (their cardholder terms and privacy policy apply to payment data);
- AI providers (OpenAI, Anthropic, Google, Mistral, and any OpenAI-compatible provider you configure) — their terms, acceptable-use policies, and privacy policies apply to the requests you send them through us.
- OAuth identity providers (Google, Box) — their terms apply when you link those accounts to the plugin.
We are not responsible for the acts or omissions of any third-party provider, including any change in their terms, pricing, availability, or data-handling practices. Material changes by a third-party provider may affect the Service even if we made no change of our own.
We may offer a Data Processing Addendum (DPA), Standard Contractual Clauses, or other data-transfer mechanisms on request for institutional customers under a separate agreement.
§10Confidentiality
Each party will protect the other’s Confidential Information with at least the same degree of care it uses to protect its own information of like importance (and no less than reasonable care). “Confidential Information” means non-public information that is identified as confidential or that a reasonable person would understand to be confidential, including your account credentials, your encrypted provider API keys, our source code, and any non-public security or pricing terms.
This obligation does not apply to information that is publicly known without breach, already known to the receiving party, independently developed, or required to be disclosed by law (with prompt notice where permitted).
§11Disclaimers (no warranties)
Read this carefully
To the maximum extent permitted by applicable law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or quiet enjoyment.
Without limiting the above, we do not warrant that:
- The Service will be uninterrupted, secure, error-free, or free of harmful components;
- AI-generated outputs will be accurate, complete, non-defamatory, suitable for citation, or appropriate for any particular purpose (including academic submission, clinical use, or legal advice);
- The Service will meet your specific requirements;
- Errors will be corrected.
Research outputs are advisory. You are responsible for verifying every citation, paraphrase, and factual claim produced by the Service against the underlying source. We do not warrant the originality or non-infringement of AI-generated text.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions above apply to the maximum extent permitted.
§12Limitation of liability
To the maximum extent permitted by applicable law, in no event will Seerai, its affiliates, officers, employees, agents, or licensors be liable for any:
- Indirect, incidental, special, consequential, exemplary, or punitive damages;
- Loss of profits, revenue, business, goodwill, anticipated savings, data, or use;
- Damages resulting from your reliance on the accuracy or availability of AI-generated content;
- Damages resulting from unauthorised access to or alteration of your data, except to the extent caused by our gross negligence;
even if advised of the possibility of such damages and regardless of the legal theory (contract, tort, statute, or otherwise).
Our aggregate liability for all claims arising out of or related to the Service in any 12-month period is limited to the greater of:
- The total amount you paid us for the Service in that 12-month period; or
- USD 100.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, liability for fraud, for death or personal injury caused by negligence, or for gross negligence in some jurisdictions).
§13Indemnification
You will defend, indemnify, and hold Seerai and its affiliates and personnel harmless from any third-party claim arising out of or related to:
- Your User Content, including any claim that it infringes a third-party right;
- Your violation of these Terms, including the Acceptable Use rules;
- Your violation of any applicable law; or
- Your dispute with an AI provider over a request sent through the Service.
We will promptly notify you of any claim we are defending, give you reasonable cooperation, and permit you to control the defence and settlement, provided that you may not settle any claim in a way that imposes an obligation or admission on us without our written consent.
§14Termination
14.1 Termination by you
You may terminate these Terms at any time by closing your account from the dashboard or by emailing legal@amayx.com. Termination stops the next renewal of any subscription. You remain responsible for any charges incurred before termination.
14.2 Termination by us
We may terminate these Terms on at least 30 days’ notice for any reason. We may terminate immediately if:
- You materially breach these Terms and fail to cure within 14 days of written notice;
- Your account is used to facilitate unlawful activity;
- We are required to do so by law or by a third-party provider whose terms bind us; or
- Continuing the Service would create an undue security or operational risk.
14.3 Effect of termination
- Your license to use the Service ends immediately.
- We will delete or anonymise your account data within the windows in our Privacy Policy (typically within 30 days), except for records we must keep (for example, transaction records for tax).
- The following sections survive termination: 7, 10, 11, 12, 13, 16, and 18.
§15Suspension
In addition to our termination rights, we may suspend all or part of the Service immediately, with or without notice, where:
- We reasonably believe it is necessary to protect the security or integrity of the Service, our users, or third parties;
- Required by a court or government authority;
- A payment fails and the 14-day grace period in section 4.7 has elapsed;
- You have exceeded the documented rate-limit (default: 60 requests per minute per session), and we have determined that the excess is causing harm to the Service or other users;
- An upstream AI provider has restricted your account.
Where feasible, we will give you advance notice and work with you to resolve the underlying issue. Suspension is not a waiver of any of our other rights.
§16Governing law and dispute resolution
16.1 Informal resolution
We want to resolve any dispute without litigation. If you have a dispute with us, please contact legal@amayx.com first with a description of the issue. We will try to respond within 30 days and to resolve informally within 60 days. Nothing in this section prevents either party from seeking injunctive relief to protect intellectual-property or confidential information.
16.2 Governing law
These Terms are governed by the laws of the State of California, United States of America, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.3 Forum
Subject to section 16.1, any dispute not resolved informally will be litigated exclusively in the state or federal courts located in San Francisco County, California, and each party consents to the personal jurisdiction of those courts.
16.4 Small-claims and IP exception
Either party may bring an action in a small-claims court of competent jurisdiction. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual-property or confidential information.
16.5 Consumer rights carve-out (EU/UK)
If you are a consumer in the European Economic Area or the United Kingdom, nothing in this section removes your right to bring proceedings in the courts of your place of residence under Article 18 of the Brussels Ia regulation or Section 19 of the UK Civil Jurisdiction and Judgments Act.
16.6 Class-action waiver (where permitted)
To the maximum extent permitted by law, any proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If a court finds this waiver unenforceable as to a particular proceeding, that proceeding may not proceed on a class basis.
§17Changes to these Terms
We may update these Terms. Material changes (changes to pricing, billing cycles, liability limits, dispute resolution, or material new restrictions) will be notified to active subscribers by email at least 30 days before the change takes effect. Non-material changes (clarifications, typo fixes, new features) will be posted with an updated “Last updated” date.
Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms. If you do not accept a material change, you may close your account before the change takes effect.
§18Miscellaneous
- Assignment. You may not assign these Terms without our written consent. We may assign these Terms as part of a merger, acquisition, or sale of substantially all of our assets.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Failure to enforce any provision is not a waiver of our right to enforce it later.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control (including cloud-provider outages, telecommunications failures, war, pandemic, natural disaster).
- Entire agreement. These Terms, the Privacy Policy, the Cookie Policy, and any agreed addenda (including a DPA or SLA) together form the entire agreement between you and Seerai regarding the Service and supersede any prior agreement.
- Headings are for convenience only.
- Notices. We may give notice by email to the address on your account or by posting in the dashboard. Email notices are deemed delivered when sent, provided we do not receive a delivery-failure notification.
